Welcome to TXM Connect ("Platform"), a travel experience management software provided by TXM Global Solutions ("Company", "we", "us", or "our").
By accessing or using our website, mobile application, or services (collectively, the "Services"), you agree to be bound by these Terms and Conditions ("Terms"). If you do not agree to these Terms, do not use the Services.
"Agency" means the travel agency or travel management company that subscribes to the Platform to manage trips.
"Client" means the corporate entity or individual for whom a trip is planned.
"Captain" means the on-ground staff or tour manager assigned to a trip.
"Vendor" means a third-party service provider (e.g., hotel, transport) listed on the Platform.
"User" means any individual accessing the Platform, including Agency staff, Client representatives, Captains, and Vendors.
"Trip Data" means all data related to itineraries, passengers, and bookings uploaded by the Agency.
TXM Connect is a Software-as-a-Service (SaaS) platform that facilitates communication, itinerary management, and issue tracking between Agencies, Clients, and Vendors.
We are not a travel agency, tour operator, or transport provider. We do not own, operate, or control any travel services. We provide the technical infrastructure for Agencies to manage these services.
The Platform includes communication tools for issue reporting. We are not a security company, emergency response service, or medical provider.
Approval of an itinerary on the Platform constitutes your final acceptance of the trip details. The Company is not liable for discrepancies noticed after approval.
You agree to provide services as described in the assignments you acknowledge on the Platform. The Company is not a party to your contract with the Agency.
Agencies agree to pay the subscription fees associated with their selected plan (Basic, Starter, Growth, Professional). Payments are processed by our third-party payment processor.
Plans may have limits on the number of active trips or team members. While we generally allow unlimited vendor database entries, we reserve the right to enforce fair usage policies.
You may cancel your subscription at any time. Access will continue until the end of the current billing cycle. No refunds are provided for partial months.
Failure to pay subscription fees may result in the suspension of your Agency account and all associated Client/Captain access.
The "SOS" button in the app allows Captains or Clients to send a digital alert (Push Notification/Email) to the designated Agency Administrator. It also attempts to capture and send the device's last known location.
TXM CONNECT IS NOT A REPLACEMENT FOR 911, POLICE, OR EMERGENCY MEDICAL SERVICES.
In the event of a life-threatening emergency, Users must primarily contact local emergency services (e.g., 911, 112) directly. The SOS feature is a secondary notification tool for the Agency only.
TO THE FULLEST EXTENT PERMITTED BY LAW, THE COMPANY SHALL NOT BE LIABLE FOR ANY DAMAGES, INJURY, OR DEATH RESULTING FROM THE FAILURE, DELAY, OR INACCURACY OF THE SOS FEATURE, OR THE FAILURE OF ANY AGENCY TO RESPOND TO AN ALERT.
The Agency retains ownership of all Trip Data and Passenger Data uploaded to the Platform.
You grant the Company a non-exclusive, worldwide, royalty-free license to use, copy, store, and display your Data solely as necessary to provide the Services (e.g., generating PDFs, sending emails).
Agencies must ensure they have the legal right (under GDPR/CCPA) to share passenger names and details with the Platform.
You agree not to:
The Services are provided "AS IS" and "AS AVAILABLE" without warranties of any kind, either express or implied, including implied warranties of merchantability or fitness for a particular purpose.
We are not liable for the acts or omissions of Agencies, Vendors, Captains, or any travel service providers. We are not responsible for flight delays, hotel cancellations, or service failures managed through the Platform.
IN NO EVENT SHALL THE COMPANY BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUE, WHETHER INCURRED DIRECTLY OR INDIRECTLY, OR ANY LOSS OF DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES.
OUR TOTAL LIABILITY FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICES SHALL NOT EXCEED THE AMOUNT PAID BY YOU TO THE COMPANY IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.
You agree to indemnify and hold harmless the Company, its officers, directors, and employees from any claims, liabilities, damages, losses, and expenses arising out of or in any way connected with your access to or use of the Services, your violation of these Terms, or your violation of any third-party right.
We reserve the right to suspend or terminate your account at our sole discretion, without notice, for conduct that we believe violates these Terms or is harmful to other users of the Platform, us, or third parties, or for any other reason.
These Terms shall be governed by and construed in accordance with the laws of India, without regard to its conflict of law principles. Any legal action or proceeding arising under these Terms will be brought exclusively in the courts located in New Delhi, India.
